Job description

ABOUT THE ROLE

Join DensityAI's growing legal team as the corporate counsel who keeps the company's foundation strong as we scale. Reporting to the General Counsel, you'll take a lead role in corporate transactions and governance, from equity financings and strategic investments to board matters, equity administration, and entity management. You'll be a trusted advisor to leadership, finance, and the board, and you'll build the corporate legal infrastructure a fast-growing AI accelerator company needs.

WHAT YOU'LL DO

  • Lead corporate transactions, including venture and strategic financings, convertible instruments, and investments, from term sheet through closing
  • Support M&A, joint ventures, and strategic investments, including diligence, structuring, and integration
  • Manage corporate governance, including board and committee meetings, minutes, consents, and stockholder matters
  • Oversee equity matters, including the equity plan, option and RSU grants, 409A coordination, and cap table accuracy, in partnership with Finance
  • Manage entity formation, maintenance, and compliance across U.S. and international subsidiaries
  • Advise on securities law compliance, including private placement exemptions and equity grant compliance
  • Coordinate with outside counsel and manage legal spend on corporate matters
  • Build scalable corporate processes, templates, and records as the company grows

WHAT WE'RE LOOKING FOR

  • JD and active membership in good standing of at least one U.S. state bar (CA preferred)
  • 10 + years of corporate and transactional experience, in-house and/or at a top law firm
  • Hands-on experience with venture financings, corporate governance, and equity compensation for high-growth companies
  • Experience supporting M&A or strategic investments
  • Working knowledge of securities law as it applies to private companies
  • Strong judgment and clear communication with executives and board members
  • Experience in semiconductors, hardware, or deep tech is a plus

Full compensation packages are based on candidate experience and relevant certifications.

California pay range

$300,000 - $325,000 USD

Compensation

Final offers depend on level, location, and skills relevant to the role. Additional compensation: equity grant per company guidelines; medical / dental / vision; 401(k); standard PTO.

Visa Sponsorship

DensityAI sponsors qualified candidates for H-1B, O-1, TN, E-3, and other employment-based visas, and we welcome applicants on F-1 OPT and STEM-OPT. Work authorization is required at start; we provide immigration support to secure or transfer status.

Export Controls

Aspects of this role may involve access to information subject to U.S. export controls (EAR/ITAR). We may discuss licensing or scope adjustments during the interview.

Equal Opportunity

DensityAI is an Equal Opportunity Employer. We do not discriminate on the basis of race, color, religious creed, national origin, ancestry, physical or mental disability, medical condition, genetic information, marital status, sex, gender, gender identity, gender expression, age (40+), sexual orientation, military or veteran status, pregnancy, or any other status protected by law. We comply with the California CROWN Act and provide reasonable accommodations on request.

Full compensation packages are based on candidate experience and relevant certifications.

Visa sponsorship record

No public sponsorship records found

We didn't find H-1B, H-1B1, E-3 or green card (PERM) filings under the name DensityAI in the Department of Labor and USCIS data. That doesn't mean the job can't be sponsored — the company may file under a different legal name, be new to sponsorship, or sponsor a visa that isn't in these datasets (for example H-2B or J-1).

Tip: ask the recruiter early, in writing, which visa they sponsor and whether they cover the legal and filing fees.

Which visas can work for this job

Occupation: Lawyers (SOC 23-1011).

  • Mentioned in the listing

    H-1B, OPT

  • H-1B cap-exempt employer

Regular cap-subject employer — a new H-1B needs to win the lottery in March (unless you already hold cap-counted H-1B status).

  • TN (citizens of Canada and Mexico)

This kind of role may fit the USMCA profession “Lawyer” — it depends on the actual duties. No lottery, no cap; you need the matching degree or license.

  • E-3 (Australia) and H-1B1 (Chile, Singapore)

Same degree requirement as H-1B, but no lottery and a separate quota that is rarely filled.

  • O-1 (extraordinary ability)

For candidates with awards, publications, press, a high salary or critical roles at distinguished organizations. No cap, no lottery; the employer files a petition.

Salary vs prevailing wage

Level III (experienced)

Lawyers · San Jose-Sunnyvale-Santa Clara, CA. Annual prevailing wages set by the Department of Labor (OFLC).

L1L2L3L4
LevelPrevailing wageH-1B lottery odds*
Level I$151,986~15%
Level II$220,147~31%
Level III$288,309~46%
Level IV$356,470~61%

This job pays $300,000–$325,000 a year — that's Level III (experienced). In the wage-weighted H-1B lottery a Level III registration gets 3 entries; estimated selection chance about 46% — better than average.

* Odds are DHS projections for the FY2027 wage-weighted lottery (actual results vary by year and employer). Since the FY2027 cap season the H-1B lottery is weighted by wage level: Level I = 1 entry, II = 2, III = 3, IV = 4. The level is set by the offered wage against the prevailing wage for the occupation and worksite. Separately, a $100,000 fee for new H-1B petitions for workers outside the US was announced in 2025; as of September 2026 a federal court ruling keeps it unenforceable while appeals continue — check the current status.
